COLLATERAL DESCRIPTION
| 5/23/2008 4:10:09 PM | 19.2% of Debtor’s ownership interest in Hines Racing, LLC and/or the Thoroughbred colt LAWYER RON (2003) by LANGFUR out of DONATION (the “Colt”), whether now owned or hereafter acquired and whether classified as inventory, equipment, farm products, goods, accounts, chattel paper, general intangibles or otherwise and including, without limitation, the following: (i) all of Debtor’s right, title and interest in and to Hines Racing, LLC and/or the Colt; (ii) all of Debtor’s right, title and interest in and to shares or undivided fractional interests in the Colt, if any, including, without limitation all Debtor’s rights to breeding nominations and all other rights set forth in any syndicate agreement applicable thereto; (iii) all annual breading rights or other breeding rights arising from Debtor’s interest in the Colt, including, without limitation, management breeding rights granted pursuant to syndicate agreements, stallion management agreements or otherwise and all other rights to breed or rights to receive income derived from Debtor’s interest in the Colt; (iv) the Colt’s Jockey Club Certificate of Foal Registration, stallion service certificates, bills of sale, certificates of title, certificates of registration, syndicate agreement(s), syndicate share certificates or other evidence of ownership in the Colt or the interest of the Debtor in the Colt and any certificate of ownership for Debtor’s interest in Hines Racing, LLC; (v) all proceeds, products, progeny, additions, replacements and substitutions to the items listed herein; (vi) all of Debtor’s interest in any and all policies of insurance maintained on or in connection with the foregoing and all rights to the proceeds thereof and refunds thereunder; and (vii) all of Debtor’s accounts, accounts receivable, chattel paper, general intangibles, rights to payment and monies due or to become due, breeders awards and racing income and all proceeds arising out of or in any way related to the foregoing (i) through (vi). |
